Welcome to YaanX. These Terms & Conditions govern your access to and use of the YaanX website, platform, products, services, software, applications, and related offerings. By accessing our website or using our services, you agree to these Terms.

1. About YaanX

YaanX is a SaaS platform, operated by Yaanx Mobility Private Limited ("YaanX"), that helps taxi operators, fleet businesses, travel companies, and transport service providers create, manage, and operate their own digital booking, dispatch, tenant, driver, customer, and operations workflows.

YaanX may provide services such as:

• Customer booking website
• Tenant/admin portal
• Driver application
• Booking and trip management tools
• Lead and onboarding workflows
• Domain and branding setup
• Notification integrations
• Payment gateway configuration support
• Analytics and reporting features
• API and integration support
• Other related SaaS features

YaanX is a technology platform provider. YaanX does not directly operate taxi rides, own vehicles, employ drivers for tenants, or guarantee transport services provided by independent tenant businesses unless explicitly stated in a separate agreement.

2. Acceptance of Terms

By using the website or services, the user confirms that:

• They are legally capable of entering into a binding agreement.
• They are using the services for lawful business purposes.
• They agree to follow these Terms and applicable laws.

If they do not agree, they should not use the website or services.

3. Eligibility

The services are intended for:

• Businesses
• Fleet operators
• Taxi operators
• Travel companies
• Transport service providers
• Authorized representatives of such entities

Users must provide accurate information and must have authority to act on behalf of their company or organization.

4. Account Registration and Access

• Users may need to create an account to access certain services.
• Users are responsible for maintaining account confidentiality.
• Users must provide accurate and updated information.
• YaanX may use OTP, email verification, phone verification, or other authentication methods.
• Users are responsible for activity under their account.
• YaanX may suspend or restrict access if misuse, fraud, unauthorized access, or policy violation is suspected.

5. Tenant Responsibilities

Tenant means the business, operator, company, or individual using YaanX to run their own transport or booking operations.

Tenant is responsible for:

• Accuracy of business information
• Driver, vehicle, customer, fare, booking, and operational data
• Valid licenses, permits, registrations, insurance, and regulatory compliance
• Driver onboarding and verification
• Customer communication
• Pricing, cancellation, refund, and service policies offered to their customers
• Handling customer complaints and disputes related to transport services
• Taxes, invoices, and accounting obligations
• Compliance with applicable Indian laws and local transport regulations

6. Platform Usage Rules

Users must not:

• Use the platform for illegal, fraudulent, misleading, or harmful activity
• Upload false, abusive, offensive, or unlawful content
• Attempt to hack, overload, reverse engineer, copy, or disrupt the platform
• Misuse APIs, automation, scraping, bots, or unauthorized integrations
• Violate privacy, intellectual property, or third-party rights
• Use YaanX to send spam, unauthorized marketing, or unlawful communications
• Interfere with platform security or availability

7. Subscriptions, Pricing, and Payments

• Some YaanX services may be paid, subscription-based, usage-based, or custom-priced.
• Pricing, billing cycle, setup charges, add-ons, taxes, and payment terms may be provided through website, proposal, invoice, order form, or separate agreement.
• Taxes such as GST may apply where applicable.
• Failure to pay may result in suspension or termination of access.
• Fees already paid may be non-refundable unless specifically agreed in writing.
• Third-party payment gateway fees or banking charges may apply.

8. Third-Party Services and Integrations

YaanX may integrate with third-party services such as:

• Payment gateways
• SMS providers
• Email providers
• WhatsApp providers
• Maps providers
• Domain registrars
• Analytics tools
• Cloud hosting providers
• Accounting/invoicing platforms
• KYC or verification providers
• Other APIs or external services

• Third-party services are governed by their own terms and policies.
• YaanX is not responsible for downtime, pricing changes, errors, or policy changes of third-party providers.
• Tenant may need to maintain their own accounts or credentials with third-party providers.

9. Connected Third-Party Accounts

YaanX lets tenants connect their own third-party accounts — such as Facebook Pages, Instagram Business accounts, Threads accounts, Google services, and other supported platforms — to publish content and manage marketing from within the platform.

• YaanX connects to these accounts using official APIs and OAuth where available, and only performs actions the tenant initiates or authorizes (such as publishing or scheduling a post).
• Each connected account remains owned and controlled by the tenant. YaanX does not own the tenant’s accounts and does not access them beyond the permissions the tenant grants.
• Tenants are responsible for holding the necessary rights and permission to connect and manage each account, and for the content they publish through it.
• YaanX stores access tokens securely, and uses them only to provide the connected-account features the tenant has requested.
• Tenants can disconnect any account at any time from the Tenant Portal → Marketing → Channels / Integrations → Disconnect. YaanX may lose access to a connected account when the tenant revokes access from Meta, Facebook, Instagram, Threads, or the relevant provider.

Publishing and scheduling content:

• When a tenant publishes or schedules content, the tenant authorizes YaanX to send that content to the selected platform on the tenant’s behalf.
• YaanX is not responsible for a platform’s rejection, throttling, API limits, policy enforcement, restrictions, or removal of content by Meta, Facebook, Instagram, Threads, or any other platform.

Personal data handled through these integrations is processed in accordance with the Privacy Policy, including the “Connected Social Accounts and OAuth Data” and “Data Deletion and Revoking Access” sections.

10. Social Media and Advertising Integrations

Where advertising features are offered, YaanX allows tenants to connect their own advertising accounts — such as Google Ads — to manage advertising from within the platform.

• By connecting an account, the tenant authorizes YaanX to access and act on that account through the provider’s official APIs, only to perform actions the tenant initiates (such as creating, updating, or reporting on a campaign).
• Each connected account remains owned and controlled by the tenant. The tenant must hold the necessary rights and permissions to the account and is responsible for ensuring that published content and advertising campaigns comply with the applicable platform policies and applicable law.
• Use of these integrations is also governed by the respective provider terms, including the Meta Platform Terms, the Google Ads API Terms of Service and the Google API Services User Data Policy, and the LinkedIn API Terms of Use.
• Advertising spend is billed directly by the advertising provider (for example, Google) to the tenant’s own account. YaanX does not control, fund, or guarantee ad delivery, approval, reach, spend, or results.
• The tenant may disconnect any account at any time. YaanX is not responsible for provider-side actions such as account suspensions, content or ad disapprovals, API or pricing changes, downtime, or policy changes.

11. Website Content and Marketing Information

• Website content is for general information.
• Features, screenshots, pricing, and availability may change.
• YaanX may update, improve, remove, or modify features at any time.
• Nothing on the website guarantees uninterrupted service, revenue, business growth, or regulatory approval.

12. Intellectual Property

• YaanX owns or licenses all rights in its brand, website, software, source code, UI, design, documentation, content, trademarks, logos, and platform materials.
• Users may not copy, reproduce, modify, sell, reverse engineer, or distribute YaanX materials without written permission.
• Tenant retains ownership of their business data, subject to rights needed by YaanX to operate the platform.

13. Data and Privacy

• Use of personal data is governed by the Privacy Policy.
• Users must ensure they have proper consent and legal basis to upload or process customer, driver, or employee data through YaanX.
• Tenant is responsible for the data they collect from their own customers, drivers, and staff.
• YaanX implements reasonable security measures but cannot guarantee absolute security.

14. Communications

• YaanX may contact users through email, phone, SMS, WhatsApp, or platform notifications for service, onboarding, support, billing, security, and operational purposes.
• Marketing communication may be sent where permitted.
• Users may contact YaanX at info@yaanx.in.

15. Availability and Support

• YaanX aims to keep services reliable and available.
• Planned maintenance, emergency maintenance, internet issues, third-party outages, hosting issues, or force majeure events may affect availability.
• Support channels and response times may depend on the plan or agreement.

16. Limitation of Liability

To the maximum extent permitted by law:

• YaanX is not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages.
• YaanX is not responsible for transport service failures, driver conduct, vehicle issues, customer disputes, accidents, delays, cancellations, regulatory violations by tenants, or third-party service failures.
• YaanX’s total liability, if any, will be limited to the amount paid by the customer to YaanX for the relevant service period, unless prohibited by law.

17. Indemnity

Users and tenants agree to indemnify and hold YaanX harmless from claims, losses, damages, penalties, costs, or expenses arising from:

• Their misuse of the platform
• Violation of these Terms
• Violation of laws or regulations
• Transport operations conducted by tenant
• Customer, driver, or third-party disputes
• Data uploaded or processed by tenant
• Breach of third-party rights

18. Suspension and Termination

YaanX may suspend or terminate access if:

• User violates these Terms
• Payment is overdue
• Fraud, abuse, or security risk is suspected
• Required verification or onboarding information is not provided
• Continued service may create legal, security, or operational risk

Users may stop using the services, subject to their subscription or agreement terms.

19. Changes to Terms

YaanX may update these Terms from time to time. Updated terms will be posted on the website with the latest effective date. Continued use of the services means acceptance of updated terms.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, courts located in Tamil Nadu, India shall have jurisdiction over disputes.
